1. Introduction

These Terms of Service and Farm Data Management Policy (“Terms”) govern access to and use of TATI FarmOS, a livestock and farm management platform developed and operated by Tati Technologies Ltd (“Tatitech”, “we”, “us” or “our”).

TATI FarmOS provides digital tools for managing livestock records, farm operations, animal health information, reproduction, feeding, production, personnel, tasks, financial records and related agricultural activities.

These Terms establish the rights and responsibilities of Tatitech, registered farm organizations, farm owners, managers, employees, veterinarians and other authorized users.

By registering for, accessing or using TATI FarmOS, users agree to comply with these Terms.

Where a person accepts these Terms on behalf of a farm organization, that person represents that they have authority to bind the organization. If the person does not have that authority, they must not accept these Terms on the organization's behalf.

2. Definitions

TATI FarmOS: The software platform, including its web portal, mobile application and associated services.

Tatitech: Tati Technologies Ltd, the provider and operator of TATI FarmOS.

Farm Organization: An individual, registered business, company, cooperative or other entity using TATI FarmOS to manage agricultural operations.

Organization Owner: The person or account recognized by FarmOS as having ownership authority over a registered organization, subject to the platform's governance rules.

Authorized User: An individual granted permission to access TATI FarmOS through an organization or farm.

Farm Data: Information entered, uploaded, generated or maintained in connection with a farm's operations.

Personal Data: Information relating to an identified or identifiable individual, as recognized by applicable data protection law.

Account: A registered identity used to access TATI FarmOS.

Subscription: A paid or otherwise authorized arrangement granting access to the platform.

Service Agreement: Any separate written agreement governing a farm organization's use of TATI FarmOS.

PART I — PLATFORM ACCESS AND ACCOUNT MANAGEMENT

3. Eligibility and Registration

TATI FarmOS is intended for farm businesses, agricultural organizations and individuals authorized to participate in their operations.

Users must provide accurate information during registration and maintain the accuracy of their account details.

Users must have the legal capacity and authority necessary to enter into these Terms or act on behalf of an organization.

The platform is not intended for independent use by children.

Where Tatitech establishes a minimum account-registration age, that requirement will be communicated through the applicable registration process.

Tatitech may request reasonable information necessary to verify account ownership or organizational authority.

4. Account Security

Each user is responsible for maintaining the confidentiality of their account credentials.

Users must not share passwords or authentication credentials with unauthorized individuals; access another person's account without authorization; attempt to bypass platform permissions; use FarmOS to obtain unauthorized access to another farm's information; or deliberately compromise platform security.

Users must promptly notify Tatitech or their authorized organization administrator if they suspect unauthorized account access.

Tatitech may restrict or suspend access where reasonably necessary to protect the platform, users or farm data.

5. Organization Registration and Ownership

A Farm Organization may register and manage one or more farms, subject to the functionality and service arrangement available to it.

The Organization Owner is responsible for ensuring that the organization is registered with accurate information and that its users are appropriately authorized.

The platform's ownership and permission structure determines who may perform organization-level administrative actions.

An individual's job title does not automatically grant unrestricted access to FarmOS.

For example, describing a person as a farm manager does not necessarily give that person permission to manage subscriptions, remove organization owners or access confidential financial records.

Access is governed by the capabilities and permissions actually assigned within the platform.

6. Farm Management and User Permissions

Farm organizations may authorize personnel to perform activities according to their responsibilities. These may include registering animals; recording livestock activities; managing farm tasks; updating animal information; recording health observations; accessing operational reports; and managing authorized farm resources.

Users may only perform actions permitted by their current account and farm assignments.

Tatitech may enforce access restrictions at the organization, farm, record and action levels.

Farm organizations are responsible for periodically reviewing their users' permissions.

7. Employee Onboarding and Offboarding

Farm organizations are responsible for authorizing and managing their personnel.

When an employee, veterinarian, consultant or other authorized user leaves the organization, the organization should promptly revoke the individual's access.

Revoking access does not automatically delete operational records previously created by that individual.

Records created during authorized farm activities may remain part of the organization's historical records.

Tatitech may preserve necessary audit information to maintain accountability, security and record integrity, subject to applicable law.

PART II — FARM DATA OWNERSHIP AND MANAGEMENT

8. Ownership of Farm Operational Data

The Farm Organization retains its rights and interests in the operational data it provides or creates through TATI FarmOS, subject to applicable law and third-party rights.

Tatitech does not acquire ownership of a farm's livestock, business assets or operational records merely because the organization uses the platform.

The organization authorizes Tatitech to host, process, maintain, transmit and otherwise handle its data as reasonably necessary to provide the contracted services.

This authorization does not permit Tatitech to use confidential farm records for unrelated commercial purposes without an appropriate legal basis or authorization.

Individual employees do not acquire ownership of an organization's operational records simply because they created or updated those records.

9. Responsibility for Data Accuracy

Farm organizations and authorized users are responsible for the accuracy and completeness of information entered into TATI FarmOS. This includes animal identification; breed and age information; health and treatment records; vaccination records; reproduction information; feeding and production records; financial transactions; task completion information; and farm personnel records.

Tatitech provides tools for organizing and processing these records but does not independently verify every entry.

Where information is unknown, users should record it as unknown or incomplete rather than deliberately supplying inaccurate information.

FarmOS may provide options for correcting records while preserving relevant historical information.

10. Animal Registration and Identification

Users must take reasonable care when registering animals.

Animal records should accurately represent the livestock under the organization's management.

Where an animal's exact age, breed, acquisition history or other information is unknown, users should use the available incomplete or estimated-data options.

Users must not knowingly create duplicate or misleading records for fraudulent purposes.

Animal identification requirements may vary by species, farm and applicable regulatory obligations.

Farm organizations remain responsible for complying with any livestock identification or traceability requirements applicable to their operations.

11. Animal Health and Veterinary Records

TATI FarmOS may support the recording of health observations, vaccinations, treatments, veterinary assessments, clinical cases, mortality records and other livestock health activities.

Farm organizations are responsible for ensuring that health information is recorded accurately by appropriately authorized personnel.

FarmOS is a management and recordkeeping platform. It does not replace professional veterinary examination, diagnosis or treatment.

Users must not rely solely on software-generated information when an animal requires urgent veterinary attention.

Where applicable, clinical decisions must be made by appropriately qualified professionals.

12. Reproduction and Production Records

TATI FarmOS may support livestock reproduction and production records, including pregnancy, birth, breeding, milk production and other relevant activities.

Users are responsible for entering accurate information and following appropriate agricultural and veterinary practices.

Lifecycle stages, age calculations and other software-generated classifications are intended to support recordkeeping and management.

They do not independently establish an animal's reproductive fitness, health condition or suitability for a particular procedure.

13. Farm Financial Records

FarmOS may allow authorized users to record farm-related financial information, including animal purchases, animal sales, acquisition expenses, feeding costs, treatment expenses and other operational expenditures.

Farm organizations are responsible for verifying their financial records and maintaining appropriate supporting documentation.

Unless separately agreed and authorized, FarmOS does not provide banking, payment custody, investment management or regulated financial advisory services.

Financial reports generated by the platform depend on the information recorded by users.

Tatitech does not guarantee the accuracy of financial reports where the underlying information is incomplete or incorrect.

14. Farm Operational Activities and Tasks

FarmOS may support task assignment, acknowledgement, completion and operational reporting.

Users must record task activities truthfully.

A task should not be marked completed unless the relevant work has been performed in accordance with the applicable workflow.

Where an activity cannot be completed, users should use the available exception or unable-to-complete process rather than recording false completion.

Farm organizations remain responsible for supervising their employees and verifying operational outcomes.

15. Historical Records and Audit Integrity

TATI FarmOS may preserve records of important actions to maintain operational accountability. These may include animal registration and updates; task assignment and completion; health observations; farm transfers; user access changes; and other material operational events.

Historical records may remain available after an animal is sold, transferred or deceased, or after an employee's access has been revoked.

Where a record is corrected, relevant audit information may be retained.

Users must not attempt to manipulate or conceal records in a manner that undermines the integrity of the platform.

PART III — PRIVACY, SECURITY AND ACCESS CONTROL

16. Protection of Farm Information

Tatitech recognizes that farm records may contain confidential commercial information.

We will process such information for authorized service purposes and in accordance with applicable agreements and legal obligations.

Access to farm information is subject to the platform's authorization mechanisms.

Farm organizations are responsible for assigning appropriate permissions and protecting their own account credentials.

Tatitech is responsible for implementing and maintaining reasonable security measures appropriate to its role as a service provider.

The details of security commitments may be further specified in an applicable Service Agreement.

17. Personal Data Protection

Personal information processed through FarmOS is subject to the TATI FarmOS Privacy Policy and applicable data protection legislation.

Farm organizations may have independent obligations regarding employee and other personal data they enter into the platform.

Where required, Tatitech and participating organizations will establish appropriate data-processing arrangements.

The Privacy Policy should be read together with these Terms.

If there is a conflict involving mandatory personal data protection requirements, applicable law takes precedence.

18. Farm Data Isolation

TATI FarmOS is intended to restrict users to the organizations, farms and records they are authorized to access.

Users must not attempt to access information belonging to another organization or farm without authorization.

Farm assignments and permissions may change over time.

When access is revoked, the user must stop accessing or using the affected information.

The mobile application may temporarily store authorized operational records for offline use where that functionality is available.

Such records remain subject to access restrictions and synchronization controls.

19. Confidentiality

Users must maintain the confidentiality of information accessed through FarmOS where that information is not intended for public disclosure.

This obligation may apply to farm financial records, livestock inventories, employee information, veterinary records, business transactions, operational reports and organization-specific information.

Users must not disclose confidential information without appropriate authorization or another lawful basis.

These confidentiality obligations may continue after an individual's account access ends.

PART IV — SUBSCRIPTIONS AND COMMERCIAL TERMS

20. Subscription Plans

TATI FarmOS may be offered through free trials, pilot arrangements, subscriptions or other commercial agreements.

The applicable access rights, pricing and service conditions will be communicated through the relevant offer, subscription process or Service Agreement.

Access to specific modules or features may depend on the organization's subscription or service arrangement.

Tatitech may introduce or modify subscription plans in accordance with applicable agreements and legal requirements.

21. Pilot and Trial Accounts

Tatitech may provide selected farms with pilot or trial access.

Pilot participation may be subject to separate onboarding, testing, feedback or service arrangements.

Unless expressly agreed otherwise, participation in a pilot does not guarantee indefinite free access.

Any transition from pilot access to a paid service should be communicated to the participating organization before charges are imposed.

Tatitech should not automatically charge a pilot participant without a valid payment authorization or other applicable contractual basis.

22. Fees and Payment Obligations

Where paid services apply, the farm organization agrees to pay the fees disclosed in the applicable subscription or Service Agreement.

Fees may vary according to the selected plan, organization requirements or contracted services.

Payment terms, billing frequency, applicable taxes and any additional charges must be communicated before the organization incurs the relevant obligation.

Tatitech may use authorized third-party payment providers where payment functionality is available.

23. Renewal and Cancellation

Subscription renewal and cancellation arrangements will be governed by the applicable plan or Service Agreement.

Where automatic renewal is offered, the renewal conditions must be clearly disclosed and appropriately authorized.

Users should be informed of the available cancellation process.

Cancellation may affect continued access to paid features after the applicable service period.

The treatment of existing farm records following cancellation is addressed under the data export and termination provisions of these Terms.

24. Refunds

Refund eligibility will depend on the applicable commercial agreement, the nature of the service and mandatory consumer protection requirements.

Any published refund policy must clearly describe the circumstances in which refunds are available.

Nothing in these Terms excludes rights that cannot lawfully be excluded.

Management note: Tatitech must approve the actual billing, renewal, cancellation and refund arrangements before this section is finalized for publication.

PART V — ACCEPTABLE USE AND PLATFORM RESPONSIBILITIES

25. Acceptable Use

Users must use FarmOS lawfully and for authorized agricultural or business purposes.

Users must not access another organization's records without authorization; introduce malicious software; interfere with platform security; attempt unauthorized data extraction; manipulate records for fraudulent purposes; impersonate another user; use the platform for unlawful activities; circumvent subscription or access restrictions; or upload content that infringes applicable legal rights.

Tatitech may investigate suspected violations and take proportionate action in accordance with applicable law and agreements.

26. Platform Availability

Tatitech aims to maintain a reliable and accessible service.

However, access may occasionally be affected by scheduled maintenance, infrastructure failures, internet connectivity problems, third-party service disruptions, security incidents or events beyond reasonable operational control.

Unless a separate Service Agreement establishes a specific service-level commitment, Tatitech does not guarantee uninterrupted availability.

Where reasonably practicable, Tatitech will communicate significant planned interruptions affecting users.

27. Technical Support

Tatitech may provide technical support according to the applicable subscription, pilot arrangement or Service Agreement.

Support may include assistance with account access, platform functionality, reported software errors, technical incidents and authorized configuration questions.

Support personnel may require limited access to relevant information to investigate an issue.

Such access must be appropriately authorized and controlled.

Tatitech is not responsible for independently managing a farm's day-to-day agricultural operations.

28. Software Updates

Tatitech may release updates to improve security, reliability, functionality and user experience.

Updates may introduce new features, correct defects or modify existing workflows.

Where changes materially affect contractual rights or important user responsibilities, Tatitech will provide appropriate notice as required.

Users should maintain supported application versions to reduce security and compatibility risks.

29. Third-Party Services and Integrations

FarmOS may integrate with third-party services.

The availability and functionality of such integrations may depend on external providers.

Where users authorize an integration, they remain responsible for ensuring that the integration is appropriate for their organization.

Third-party services may be subject to separate terms and privacy policies.

Tatitech is not responsible for independent third-party conduct beyond obligations imposed by applicable law or an agreement.

PART VI — DATA EXPORT, SUSPENSION AND TERMINATION

30. Farm Data Export

Farm organizations may request access to or export of their operational records, subject to their authorization, available platform functionality, applicable subscription or service terms, legal and security requirements, and the rights of other individuals or organizations.

The available export formats, processing procedures and applicable service commitments should be specified in the relevant product documentation or Service Agreement.

Tatitech should not promise export formats or automated capabilities that have not been implemented and verified.

31. Account Suspension

Tatitech may suspend access where reasonably necessary because of suspected unauthorized access, material security risks, serious violations of these Terms, applicable legal requirements or material payment default under an applicable paid agreement.

Where appropriate and lawful, Tatitech will provide notice and an opportunity to resolve the issue.

Suspension does not automatically transfer ownership of farm records to Tatitech.

32. Account and Organization Termination

An individual may request closure of their account through the available deletion or support process.

An authorized organization representative may request termination of the organization's service arrangement.

Before organization termination, Tatitech and the organization should address outstanding contractual obligations, available data export options, applicable retention requirements, user access termination, treatment of historical operational records, and lawful deletion or anonymization of eligible data.

Termination of a user account does not automatically require deletion of all historical records created by that user on behalf of an organization.

33. Data Retention Following Termination

Following termination, Tatitech may retain information where necessary for lawful purposes, including compliance with applicable recordkeeping obligations, dispute resolution and security.

Data that is no longer required should be deleted, anonymized or otherwise handled according to the applicable retention and deletion policy.

The precise retention periods and post-termination export window must be defined in Tatitech's approved data retention schedule or Service Agreement.

PART VII — LEGAL RESPONSIBILITIES

34. Intellectual Property

TATI FarmOS, including its software, platform design, documentation, branding and other protected materials, belongs to Tatitech or its applicable licensors.

Users receive a limited, non-exclusive right to access and use the platform according to these Terms and their applicable service arrangement.

Users must not reproduce, distribute, reverse engineer or commercially exploit protected platform materials except where permitted by law or authorized in writing.

Ownership of the software does not give Tatitech ownership of the farm organization's underlying operational records.

35. User Content and Uploads

Users retain their applicable rights in content they are authorized to upload.

By uploading content, the relevant organization or user grants Tatitech the permissions reasonably necessary to host, process, display, transmit and maintain that content for the service.

Users are responsible for ensuring that uploaded content does not violate applicable laws or third-party rights.

Tatitech may remove or restrict unlawful or harmful content where legally justified.

36. Agricultural and Veterinary Disclaimer

FarmOS provides software tools to assist with livestock and agricultural management.

It does not guarantee animal health outcomes, pregnancy or breeding success, disease prevention, production performance, farm profitability or accuracy of records supplied by users.

Software-generated alerts, reports and calculations depend on the information available to the platform.

Farm organizations remain responsible for professional judgment, livestock welfare, regulatory compliance and operational decisions.

37. Limitation of Liability

To the extent permitted by applicable law, Tatitech's liability arising from the provision or use of FarmOS may be subject to reasonable limitations established in the applicable Service Agreement.

Such limitations must not exclude liability where exclusion is prohibited by law.

Nothing in these Terms is intended to exclude mandatory legal rights or obligations.

Management note: Any monetary liability cap, exclusions of consequential losses or indemnity obligations should be finalized by legal counsel and reflected consistently in the commercial Service Agreement.

38. Indemnification

Where legally permissible and expressly agreed, a farm organization may be responsible for losses arising from its unlawful use of the platform, material breach of contractual obligations or infringement of third-party rights.

Any indemnification obligations must be proportionate, clearly defined and consistent with applicable law.

This provision does not remove Tatitech's responsibility for its own unlawful conduct or contractual obligations.

39. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria, subject to any mandatory laws that apply to a particular user or transaction.

40. Dispute Resolution

Users should first submit service-related complaints through Tatitech's designated support channel.

Tatitech and the affected party should attempt to resolve contractual disputes through good-faith discussions.

Where a dispute cannot be resolved informally, the parties may pursue available remedies under applicable Nigerian law or any valid dispute-resolution procedure established in their Service Agreement.

Nothing in these Terms prevents an individual from exercising mandatory statutory rights or making a complaint to an appropriate regulator.

PART VIII — GENERAL PROVISIONS

41. Changes to These Terms

Tatitech may update these Terms to reflect changes in its services, legal requirements or commercial arrangements.

Material changes will be communicated where required by applicable law or contractual commitments.

The effective date of the updated Terms will be identified.

Where renewed acceptance is legally or contractually necessary, users will be asked to accept the revised Terms.

42. Relationship Between Documents

These Terms should be read alongside TATI FarmOS Privacy Policy — FARMOS-LEGAL-001.

The applicable Service Agreement, subscription terms and any authorized data-processing agreement may contain additional obligations.

Where documents conflict, the applicable agreement should establish the contractual order of precedence, subject to mandatory law.

43. Severability

If a provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue to apply to the extent legally permissible.

44. No Waiver

A failure by Tatitech to enforce a provision immediately does not automatically constitute a waiver of its rights.

Recommended Publication Structure

Privacy Policy: Explains personal data collection, processing, sharing and user rights.

Terms of Service: Establishes platform usage and contractual responsibilities.

Important distinction: This draft combines Terms of Service and Farm Data Management Policy into one governing document. It may be published as one document initially with separate navigation links, or separated later.

Product Recommendation

For the initial FarmOS release, the legal framework should protect three interests simultaneously: the farm organization's operational records, individual users' personal information, and Tatitech's software and service responsibilities.

The most important outstanding management decisions are the actual subscription arrangements, data-retention periods, organization deletion process and available data export mechanisms.

FARMOS-LEGAL-002 is ready for management review. It should be approved and checked against the production implementation before publication or incorporation into the application's Terms acceptance flow.
